BASIC TERMS AND CONDITIONS FOR MEMBERSHIP ATTORNEY
JCG PC — JCG OPEN Attorney Network

These Terms and Conditions ("Terms") govern the membership of
attorneys in the JCG OPEN Attorney Network operated by JCG
Professional Corporation ("JCG PC") through the juriscreators.com
platform ("Platform"). By submitting an application, the applicant
acknowledges having read, understood, and agreed to these Terms.
1. DEFINITIONS
1.1 "JCG PC" means JCG Professional Corporation, the
coordinating counsel and operator of the JCG OPEN
Attorney Network (Business Registration No. 514-85-30408).
1.2 "Member Attorney" means a licensed attorney admitted to the
JCG OPEN Attorney Network upon approval of their application.
1.3 "Lead Attorney" (also "Coordinating Counsel") means the
principal attorney of JCG PC responsible for overall case
management, client communication supervision, and quality
assurance of the Network.
1.4 "Platform" means the juriscreators.com website and
associated services operated by JCG PC and HSOLLC Co., Ltd.
(Business Registration No. 583-87-00035).
1.5 "Client" means any individual or entity engaging legal
services through the Platform.
2. ELIGIBILITY AND ADMISSION
2.1 Applicants must hold an active license to practice law in
their respective jurisdiction and be in good standing with
their bar association.
2.2 Applicants must submit all required documentation including
proof of licensure, curriculum vitae, and professional
liability insurance certificate (where required by
jurisdiction).
2.3 All applications are subject to review and approval by JCG
PC at its sole discretion. JCG PC is under no obligation to
disclose reasons for denial of any application.
2.4 Submission of an application does not create any attorney-
client relationship, employment relationship, or partnership
between the applicant and JCG PC.
3. DUAL-ATTORNEY SERVICE MODEL
3.1 The JCG OPEN Network operates under a dual-attorney model.
All client consultations are conducted under the supervision
of the Lead Attorney, who serves as coordinating counsel.
3.2 The Member Attorney provides specialist expertise within
their area of competence while the Lead Attorney ensures
overall quality, compliance, and coordination of services.
3.3 The Lead Attorney maintains overall case management and
strategy direction for all client engagements facilitated
through the Platform.
3.4 Member Attorneys shall not represent to clients that they
are acting independently of JCG PC when providing services
through the Platform.
4. SCOPE OF SERVICES
4.1 Specific engagements are assigned through written Scope of
Work instructions issued by the Lead Attorney.
4.2 Member Attorneys shall accept or decline assigned matters
within 48 hours of notification.
4.3 Member Attorneys shall perform all assigned tasks diligently,
competently, and in accordance with applicable professional
conduct rules.
4.4 Member Attorneys are independent contractors and not
employees, agents, or partners of JCG PC.
5. FEE STRUCTURE
5.1 The Member Attorney's base hourly rate is established at the
time of application and recorded upon approval.
5.2 Client-facing rates include a coordination fee and applicable
taxes. The effective rate payable by clients is calculated as:
Effective Rate = Base Rate x Coordination Markup x VAT
5.3 Fee allocation between JCG PC and the Member Attorney is
determined by the level of coordination services provided
and specified in the applicable fee schedule maintained by
JCG PC.
5.4 Fees are calculated based on actual collected amounts from
clients. Payment to Member Attorneys is processed within 15
business days of client payment receipt.
5.5 Fee adjustments require mutual written agreement. Rate
reviews are conducted annually during membership renewal.
5.6 Each party is independently responsible for their own tax
obligations. JCG PC will provide tax documentation as
required by applicable law.
6. COMMUNICATION REQUIREMENTS
6.1 All client communications conducted through the Platform
shall copy (CC) the Lead Attorney.
6.2 The Member Attorney shall respond to client inquiries within
24 hours on business days.
6.3 The Member Attorney shall provide regular status updates on
active matters at intervals determined by the Lead Attorney
(minimum monthly).
6.4 The Member Attorney shall promptly report any client
complaints, disputes, or potential ethical issues to the
Lead Attorney.
6.5 Substantive legal advice is provided by the Member Attorney.
Administrative communications are handled through the
Platform.
7. PROFESSIONAL CONDUCT
7.1 Member Attorneys shall maintain the highest standards of
professional conduct consistent with applicable bar
association rules and ethical standards in their
jurisdiction(s) of practice.
7.2 Member Attorneys shall not engage in any conduct that could
damage the reputation of JCG PC, the Platform, or the
JCG OPEN Attorney Network.
7.3 Member Attorneys shall maintain adequate professional
liability insurance coverage where required by their
jurisdiction.
7.4 Member Attorneys must immediately disclose any conflicts of
interest and conduct independent conflict checks before
accepting any referred matter.
7.5 Member Attorneys shall comply with all applicable rules of
professional conduct regarding the unauthorized practice of
law, trust account handling, and disciplinary cooperation.
8. CONFIDENTIALITY AND DATA PROTECTION
8.1 Member Attorneys shall maintain strict confidentiality of all
client information, JCG PC proprietary processes, fee
structures, client lists, and Platform technology.
8.2 Confidential information shall be used solely for the
purpose of providing legal services through the Platform.
8.3 Member Attorneys shall comply with applicable data protection
laws including:
- Personal Information Protection Act (PIPA) of Korea
- General Data Protection Regulation (GDPR) where applicable
- Applicable US state privacy laws
- Other relevant data protection regulations
8.4 Member Attorneys shall implement reasonable security measures
to protect confidential information, use only authorized
Platform credentials, and immediately report any data
breaches or security vulnerabilities.
8.5 Confidentiality obligations survive termination of membership.
Client confidentiality obligations survive indefinitely per
applicable professional conduct rules.
9. QUALITY STANDARDS
9.1 Member Attorneys are expected to maintain a minimum client
satisfaction rating as established by JCG PC policy.
9.2 All work product must be thoroughly researched, accurately
cited, clearly written, and consistent with client
objectives.
9.3 Member Attorneys shall keep current matter status on the
Platform dashboard and use Platform billing and invoicing
tools.
9.4 Performance is evaluated periodically based on client
satisfaction, response time compliance, matter outcome
quality, and adherence to these Terms.
10. ANNUAL REVIEW AND RENEWAL
10.1 Membership is subject to annual review by JCG PC.
10.2 JCG PC may renew, suspend, or decline to renew membership
based on performance, compliance, client satisfaction,
maintenance of licensure and insurance, and adherence to
these Terms.
10.3 Member Attorneys must maintain current bar admissions and
promptly notify JCG PC of any changes to licensure status.
11. TERMINATION
11.1 Either party may terminate membership with 30 days written
notice.
11.2 JCG PC may terminate membership immediately for cause,
including but not limited to: disciplinary action or
license suspension, material breach of these Terms,
pattern of client complaints, failure to maintain required
insurance, ethical violations, or failure to comply with
JCG PC Internal Regulations.
11.3 Upon termination, the Member Attorney shall complete all
pending client engagements or facilitate an orderly
transition as directed by the Lead Attorney.
11.4 Fee obligations continue for matters in progress at the
time of termination.
11.5 Post-termination, the Member Attorney shall not directly
solicit clients who were referred through the Platform
for a period of 12 months. If a client independently
seeks the Member Attorney after the initial engagement
concludes, representation is permitted without Platform
involvement.
12. INTERNAL REGULATIONS
12.1 JCG PC maintains Internal Regulations governing detailed
operational procedures, performance standards, disciplinary
procedures, and compliance requirements.
12.2 The Member Attorney agrees to comply with all Internal
Regulations as amended from time to time by JCG PC.
12.3 Material changes to Internal Regulations affecting Member
Attorney obligations will be communicated in writing with
reasonable advance notice.
13. INTELLECTUAL PROPERTY
13.1 JCG PC retains all intellectual property rights in the
Platform, including its technology, algorithms, and
operational processes.
13.2 Work product created for specific client engagements is the
property of JCG PC for the purpose of delivery to the
client. The Member Attorney retains the right to reference
such work for professional development purposes.
14. LIMITATION OF LIABILITY
14.1 JCG PC's liability to the Member Attorney shall be limited
to fees actually earned through the Platform during the 12
months preceding any claim.
14.2 JCG PC shall not be liable for lost profits, business
opportunities, or consequential damages.
14.3 Each party is responsible for their own professional
liability. Member Attorneys shall indemnify JCG PC against
claims arising from unauthorized disclosure of confidential
information.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 These Terms shall be governed by the laws of the Republic
of Korea.
15.2 Disputes arising from these Terms shall be resolved through
good faith negotiation, followed by binding arbitration in
Seoul, Republic of Korea if necessary.
16. AMENDMENTS
16.1 JCG PC may amend these Terms with 30 days prior written
notice to Member Attorneys.
16.2 Continued membership after the effective date of amendment
constitutes acceptance.
16.3 Amendments to fee schedules apply only to new matters
accepted after the effective date. Existing matters
continue under the fee schedule in effect at the time of
assignment.
BY SUBMITTING AN APPLICATION, THE APPLICANT ACKNOWLEDGES THAT
THEY HAVE READ, UNDERSTOOD, AND AGREE TO THESE BASIC TERMS AND
